Abstract: Promoting legalization of management is the fundamental way to reform stateowned enterprise and establish modern enterprise system in order to achieve the ultimate goal of establishing efficient management mechanism of stateowned enterprises with international competitiveness. At present，some problems exist in legalization of management of stateowned enterprises as there lack a cultural atmosphere of legalization，clear governance structure and sufficient in novation ability in our country. In order to achieve the goal of reforming the stateowned enterprises，we must improve the internal environment of enterprises’ legal management by creating an internal cultural atmosphere of legalization，constructing a legalized management system and legal innovation ability.
